1.0 Intellectual Property Definitions: "the Company" means Paving Stone Systems International Ltd (PSSIL) and Flexipave™ "Intellectual Property" means copyright, designs (registered or unregistered), trademarks (registered or unregistered), patents, confidential information, trade secrets, know-how, and all other intellectual property rights of all kinds, and whether or not embodied in any object, article, plant, equipment, device, structure, organism, drawing, plan, photograph, book, table, chart, map, pamphlet, document, picture, diagram, card, film, videotape, tape, cassette, phonographic record, disk, information, data, formula, recipe, computer program, database, or any similar item, and whether or not stored or recorded electronically or in hard copy or in any other medium.
(a) Any Intellectual Property the Client supplies or makes available in any form to the Company for the purposes of enabling or assisting the company to carry out any work, job, commission, project or contract for or on behalf of the client or pursuant to the clients instructions, authorisation, directions, or consent, is either owned by the client or the client is lawfully entitled to use it and is lawfully entitled to procure or authorise the company to use if for such purposes; and
The client will indemnify the company from and against any liability, suits, actions, claims, proceedings, damages, costs, and legal fees and disbursements (on a solicitor and own client basis) suffered or incurred by the company as a result of any breach of the warranties in the immediately preceding clause. 2.0 Romalpa Clause Definitions: "The Purchaser" means the company to which this invoice is being addressed. "The Goods" means the item or items being sold by the Vendor to the Purchaser. "The Contract" means the contract or agreement under which the Vendor has agreed to sell the goods to the Purchaser. 2.1 (a) Until the Goods the subject of the contract are paid for in full, ownership shall remain with the Vendor, but the risk shall pass to the Purchaser. (b) Until the Goods are paid for in full, the relationship between the parties shall be fiduciary, and the Purchaser shall hold the Goods as bailee for the Vendor. The Purchaser shall store the Vendors Good separately from the Purchasers on goods while the Vendors Goods are in the possession or under the control of the Purchaser. 2.2 (i) Until the Goods are paid for in full, the Vendor authorises the Purchaser to on-sell the Goods but as agent for the Vendor. The Purchaser shall, however, not represent to any third parties that it is in any way acting for the Vendor and the Vendor will not be bound by any contracts with third parties to which the Purchaser is a party. (ii) Records shall be kept by the Purchaser of any Goods
owned by the Vendor and that are for the time being possessed by or under
